1. No Professional Relationship

TaxMint, Inc., a Delaware corporation ("TaxMint," "we," "us," or "our"), operates yearwise.ai and its related applications (the "Service"), an automated software platform designed for informational and educational purposes only. TaxMint is not a law firm, a certified public accounting (CPA) firm, a registered tax preparer, or a financial advisory firm.

Use of the Service does not create:

  • A fiduciary, advisory, or professional-client relationship.
  • An attorney-client privilege.
  • A CPA-client confidentiality privilege under IRC §7525.

2. AI-Powered Tax Auditor Limitations

The "Tax Auditor" tool uses third-party AI services (Google Gemini via Google Vertex AI) to flag potential discrepancies for your review. It is not a definitive statement of tax compliance or error. The AI may produce incomplete or inaccurate results.

  • Informational flagging only: Verdicts are starting points for your own review, not final determinations.
  • Tiered consensus model: Where confidence is critical, our system performs cross-model verification (multiple independent AI evaluations) to reduce single-model error rates. This is an automated reliability measure, not a substitute for professional judgment.
  • Conditional debug use of Anthropic Claude: Separate from runtime audit processing, our engineering team may use Anthropic's Claude to debug specific reported issues — only when you have granted explicit data access via the bug-report flow. See the Privacy Policy §4.1.

3. Accuracy of Data and Calculations

  • Accuracy of your inputs: All results depend entirely on the accuracy of the data you input. We do not validate the truthfulness of your entries.
  • Federal vs. State: We model U.S. Federal Tax thoroughly. State-tax modeling is provided as a calculation for the states currently supported in the Service; for states not yet supported, the Service computes federal results and presents state-level results as "not modeled." Always verify state-specific implications with a local professional.
  • Tax Year Specificity: Tax laws change annually. Use of the Service for prior or future tax years carries risk of using outdated rules.

4. Not a Substitute for Filing

Using TaxMint does not constitute the filing of a tax return with the IRS or any state taxing authority. You remain solely responsible for filing all legally required tax returns on time and accurately, and for paying all taxes owed.

5. Limitation of Reliance

You agree that you will:

  1. Not rely solely on the outputs of the Service for any actual tax filing.
  2. Verify all results with a qualified tax professional (CPA, Enrolled Agent, or tax attorney) before filing any return.
  3. Not hold TaxMint liable for any tax penalties, interest, or audit costs incurred due to reliance on the Service.

6. No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TAXMINT SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. TAXMINT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY CALCULATION OR OUTPUT WILL BE ACCURATE OR COMPLETE.

To the maximum extent permitted by applicable law, TaxMint and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation tax penalties, interest, audit costs, professional fees, lost profits, or lost data, arising out of or relating to your use of the Service, whether based in contract, tort, strict liability, or any other theory, and whether or not TaxMint has been advised of the possibility of such damages. TaxMint's total aggregate liability for all claims arising out of or relating to the Service shall not exceed the amount you paid TaxMint in the twelve months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless TaxMint from any claim, penalty, or liability asserted by a third party, including any taxing authority, arising from your submission of inaccurate data or your reliance on Service outputs in any filing.

7. Relationship to the Terms of Service; Severability

This Disclaimer forms part of, and is governed by, the TaxMint Terms of Service, which are incorporated here by reference. In the event of any conflict between this Disclaimer and the Terms of Service, the Terms of Service govern. Without limiting the foregoing, the limitation of liability, warranty disclaimer, indemnification, dispute resolution, and class action waiver provisions of the Terms of Service apply to any claim arising out of or relating to this Disclaimer or your use of the Service.

If any provision of this Disclaimer is held invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable or, if it cannot be so modified, severed, and the remaining provisions shall continue in full force and effect.
